Welcome to Zhong Watch. In these Terms of Service, “we”, “us” and “our” refer to QI YUEN LIMITED (旗緣有限公司), trading as Zhong Watch. QI YUEN LIMITED operates this store and website, including the related information, content, features, tools, products and services made available through it (the “Services”). The Services are powered by Shopify.

These Terms of Service, together with the policies referenced in them, describe your rights and responsibilities when you use the Services. Please read them carefully, as they include important information about your legal rights, warranty disclaimers and limitations of liability.

By visiting, interacting with or using the Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you should not access or use the Services.

SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms, you represent that you are at least 18 years old, or otherwise have the legal capacity to enter into a binding agreement under the laws applicable to you. If you permit a minor to use the Services, you are responsible for that minor’s compliance with these Terms.

To use the Services or place an order, you may be asked to provide information such as your email address, billing, payment and shipping information. You represent and warrant that the information you provide is accurate, current and complete and that you have the right to provide it.

You are responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign or license your account to another person.

We make reasonable efforts to describe and display our products accurately. Colours and product appearance may vary depending on your device and settings. Product descriptions, availability and specifications may change without notice. We may discontinue products or limit quantities, persons, regions or jurisdictions at our discretion.

SECTION 3 - ORDERS
When you place an order, you make an offer to purchase. We may accept or decline an order for any lawful reason. An order is not accepted until we confirm acceptance and have received and processed payment. Please review your order before submitting it, as cancellation may not be possible after acceptance.

If we decline, change or cancel an order, we will try to notify you using the contact details provided with the order. Purchases are subject to our Refund Policy. You represent that purchases are for personal or household use and not for commercial resale or export.

SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions may change without notice. The price charged is the price shown at the time the order is placed and confirmed. Unless stated otherwise, prices may exclude shipping, handling, customs, import charges and taxes imposed by the destination jurisdiction.

Promotions may have separate terms. If those terms conflict with these Terms, the promotion terms apply to the extent of the conflict. You agree to provide accurate and current purchase, payment and account information and to update it when necessary.

You represent that payment information is accurate, that you are authorised to use the payment method, and that charges incurred by you will be honoured. You agree to pay all charges shown at checkout, including applicable shipping charges and taxes.

Delivery times are estimates and are not guaranteed. We are not responsible for delays caused by carriers, customs, weather, events outside our reasonable control or other causes beyond our control. To the extent permitted by applicable law, risk of loss passes to you when the products are delivered to the carrier or otherwise made available in accordance with the shipping terms shown at checkout.

SECTION 6 - INTELLECTUAL PROPERTY
The Services and their content, including trademarks, names, text, images, graphics, reviews, video, audio, design and arrangement, are owned by QI YUEN LIMITED, its affiliates or licensors and are protected by applicable intellectual-property laws.

These Terms permit personal, non-commercial use of the Services only. Without our prior written consent, you must not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store or transmit material from the Services, except as permitted by law. All rights not expressly granted are reserved.

“Zhong Watch”, our logos, product names, service names, designs and slogans are trademarks of QI YUEN LIMITED or its licensors. You must not use them without prior written permission. Shopify’s name and marks belong to Shopify. Other marks belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS
Third-party tools may be made available through the Services. We do not monitor or control those tools and provide access to them “as is” and “as available”, without endorsement or warranties. Your use of optional tools is at your own risk and is subject to the relevant provider’s terms. New features and tools are also subject to these Terms.

SECTION 8 - THIRD-PARTY LINKS
The Services may contain third-party materials or links. We are not responsible for third-party content, websites, products or services. If you access them, you do so at your own risk and should review the third party’s policies before entering a transaction. Complaints about third-party products or services should be directed to the relevant third party.

SECTION 9 - RELATIONSHIP WITH SHOPIFY
The Services are powered by Shopify. Sales and purchases made through this store are transactions directly between you and QI YUEN LIMITED. Shopify is not responsible for the products, services or transactions between you and us. To the extent permitted by law, you release Shopify and its affiliates from claims arising from or relating to those transactions.

SECTION 10 - PRIVACY POLICY
Personal information collected through the Services is handled under our Privacy Policy. Certain information may also be subject to Shopify’s Privacy Policy. Because the Services are hosted by Shopify, information may be processed by Shopify and service providers in countries outside your place of residence. Please review our Privacy Policy for details.

SECTION 11 - FEEDBACK
If you submit reviews, suggestions, ideas or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display it for operating, improving and promoting the Services. You may use the Services only for lawful purposes. You must not use them to break applicable laws, infringe rights, harass or harm others, send misleading information, impersonate another person, distribute malware or interfere with another person’s use of the Services.

You must not reproduce, copy, resell or exploit the Services; collect personal information without authorisation; spam, phish or pharm; use robots, spiders, scraping or automated tools to access the Services without our permission; or bypass security, access controls or robot-exclusion measures. We may suspend or terminate access if we reasonably believe you have breached these Terms.

SECTION 14 - AGENTS
If you use software or a service that acts autonomously or semi-autonomously on your behalf to access or interact with the Services (an “Agent”), the Agent must identify itself, must not conceal or misrepresent that it is an Agent, must not bypass CAPTCHAs or access controls, and must follow any request from us to stop accessing or interacting with the Services. We may limit Agent access by technical or other measures.

We may terminate these Terms or suspend or terminate your access to the Services where permitted by applicable law. You remain liable for amounts due up to the date of termination. Provisions that by their nature should survive termination will continue to apply.

To the fullest extent permitted by applicable law, the Services and products offered through them are provided “as is” and “as available”, without representations, warranties or conditions, express or implied, including as to accuracy, availability, merchantable quality, fitness for a particular purpose, durability, title and non-infringement. We do not guarantee uninterrupted, timely, secure or error-free use. Nothing in these Terms excludes a guarantee, condition or right that cannot lawfully be excluded.

SECTION 17 - LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, QI YUEN LIMITED, its affiliates, directors, officers, employees, agents, contractors, service providers and licensors, and Shopify and its affiliates, will not be liable for indirect, incidental, special, punitive or consequential loss, or loss of profits, revenue, savings, data or replacement costs, arising from your use of the Services or products purchased through them. Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

SECTION 18 - INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless QI YUEN LIMITED, Shopify and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from claims, losses, damages, liabilities and reasonable costs arising from your breach of these Terms, violation of law or third-party rights, or use of the Services. We will give reasonable notice of an indemnifiable claim and may control its defence and settlement.

SECTION 19 - SEVERABILITY
If any provision is unlawful, void or unenforceable, it will be enforced to the fullest extent permitted and the remaining provisions will remain valid and enforceable.

SECTION 20 - WAIVER; ENTIRE AGREEMENT
Our failure to enforce a right or provision is not a waiver. These Terms and the policies referenced in them constitute the entire agreement between you and us regarding the Services and supersede prior agreements and communications about them.

SECTION 21 - ASSIGNMENT
You may not transfer or assign these Terms or your rights or obligations without our prior written consent. We may transfer or assign these Terms and our rights and obligations as permitted by law.

SECTION 22 - GOVERNING LAW
These Terms and any separate agreement under which we provide Services are governed by the laws of Hong Kong. You and QI YUEN LIMITED agree to submit to the non-exclusive jurisdiction of the courts of Hong Kong, subject to any mandatory rights or protections applicable to you.

Headings are for convenience only and do not affect the interpretation of these Terms.

SECTION 24 - CHANGES TO TERMS OF SERVICE
You can review the current version of these Terms on this page. We may update or replace them by posting changes to the website. We will notify you of material changes where required by applicable law. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
